What happened
Sometimes in life, things don’t go as planned. If you have an experienced M&A team, you’ll get to the closing unscathed. This deal had more lives than a cat. Our original buyer got cold feet and backed out (very rare). We had multiple LOIs within a few short weeks. After settling on a second buyer, we successfully navigated our client’s loss of a major customer and got both sides to the closing table, happy with the result.
Every closed engagement is described this way. The company is never named, and no figure that could identify it is published (except where permission is granted) — during the process or after it.
The NDA and teaser came down at completion of the transaction. What a seller is owed in confidence during a sale, they are owed afterward.
